Common use of Cap Amount Clause in Contracts

Cap Amount. For purposes of this Agreement, the “Cap Amount” shall mean: 12.3.1. Six Million Five Hundred Thousand Dollars ($6,500,000) for any claim or claims made during the period from the Effective Date to the second anniversary of the Service Commencement Date; 12.3.2. Seven Million Five Hundred Thousand Dollars ($7,500,000) for any claim or claims made during the period from the second anniversary of the Service Commencement Date to and including the fifth anniversary of the Service Commencement Date; and 12.3.3. For any claim or claims made during a Contract Year of a Renewal Term, Two and one-half (2.5) times the annual License Fee paid during such Contract Year; and for any claim or claims made following the Term, Two and one-half (2.5) times the annual License Fee paid during the final Contract Year of the Term.
