Common use of Cap Amount Clause in Contracts

Cap Amount. Unless permitted by the applicable rules and regulations of the principal securities market on which the Common Stock is listed or traded, in no event shall the total number of shares of Common Stock issued upon conversion of this Debenture exceed the maximum number of shares of SmallCap of Common Stock that the Corporation can so issue pursuant to the rules of the Nasdaq SmallCap or National Market ("NASDAQ") (or any successor rule) (the "CAP AMOUNT") which, as of the Issue Date is 2,630,997 shares. In the event the Corporation is prohibited from issuing shares of Common Stock as a result of the operation of this subparagraph (ii), the Corporation shall comply with Article VII.

In the event the Corporation Company is prohibited from issuing shares of Common Stock Ordinary Shares as a result of the operation of this subparagraph (ii), the Corporation Company shall comply with Article VII.
