Common use of Capacity and authorisation Clause in Contracts

Capacity and authorisation. The Seller: (a) is a company properly incorporated and validly existing under the laws of the country or jurisdiction of its incorporation; and (b) has the legal right and full corporate power and capacity to: (i) execute and deliver this agreement; and (ii) perform its obligations under this agreement and each transaction effected by or made under this agreement.

Capacity and authorisation. The Seller: (a) Seller is a company properly incorporated and validly existing under the laws of the country or jurisdiction of its incorporation; and (b) in which it is registered, has the legal right and full corporate power and capacity to: (i) execute to execute, deliver and deliver this agreement; and (ii) perform its obligations under this agreement document and each transaction effected document contemplated by or made under this agreementdocument (Transaction Documents and each a Transaction Document) and to own the Assets and carry on the Business and has obtained all necessary authorisations and consents and taken all other actions necessary to enable it to do so.
