Common use of Capacity and Enforceability Clause in Contracts

Capacity and Enforceability. All Borrowers party to the loan agreements and other documents evidencing the Loans have the legal capacity to enter into and execute and deliver them, and all such loan agreements and other documents have been duly and properly executed by such Persons. Each loan agreement is the legal, valid and binding obligation of the related Borrower thereunder, enforceable against each Borrower in accordance with its terms subject to customary equitable exceptions.
