Common use of Capacity and Performance Clause in Contracts

Capacity and Performance. (a) During the Term, the Executive shall serve the Company as its Senior Vice President and Chief Financial Officer. (b) During the Term, the Executive shall be employed by the Company on a full-time basis and shall perform the duties and responsibilities of her position, and such other duties and responsibilities on behalf of the Company and its Affiliates as reasonably may be designated from time to time by the Chief Executive Officer of the Company (the “CEO”) or the Board of Directors of Skyline Champion Corporation (the “Board”). (c) During the Term, the Executive shall devote her full business time and her best efforts, business judgment, skill and knowledge exclusively to the advancement of the business and interests of the Company and its Affiliates and to the discharge of her duties and responsibilities hereunder. The Executive shall not engage in any other business activity or serve in any industry, trade, professional, governmental or academic position during the term of this Agreement, except as may be expressly approved in advance by the CEO in writing.

Capacity and Performance. (a) During the Termterm hereof, the Executive shall serve the Company as its Senior Vice President and Chief Financial Information Officer, reporting to the Chief Executive Officer, or his/her successor. (b) During the Termterm hereof, the Executive shall be employed by the Company on a full-time basis basis, and shall perform the duties and responsibilities of her position, his position and such other duties and responsibilities on behalf of the Company and its Affiliates as may reasonably may be designated from time to time by the Chief Executive Officer of the Company (the “CEO”) CEO or the Board of Directors of Skyline Champion Corporation (the “Board”)by his/her designee. (c) During the Termterm hereof, the Executive shall devote her his full business time and her his best efforts, business judgment, skill and knowledge exclusively to the advancement of the business and interests of the Company and its Affiliates and to the discharge of her his duties and responsibilities hereunder. The Executive shall not engage in any other business activity or serve in any industry, trade, professional, governmental or academic position during the term of this Agreement, except as may be expressly approved in advance by the CEO Company in writing.

Capacity and Performance. (a) a. During the Term, the Executive shall shall: i. serve the Company as its Senior Vice President President, Treasurer and Chief Financial Officer. (b) During the Term, and without further compensation, the Executive shall also serve as a director and/or officer of one or more of the affiliates of the Company, or in such other offices or positions as the Company may from time to time determine; ii. be employed by the Company on a full-time basis and shall perform the duties and responsibilities of her position, and such other duties and responsibilities on behalf of the Company and its Affiliates as reasonably may be designated from time to time by the Chief Executive Officer Board of Directors of the Company (the “CEO”) or the Board of Directors of Skyline Champion Corporation (the “BoardDirectors”).; and (c) During the Term, the Executive shall iii. devote her his full business time and her his best efforts, business judgment, skill and knowledge exclusively to the advancement of the business and interests of the Company and its Affiliates and to the discharge of her duties and responsibilities hereunder. The of the Executive shall hereunder and not engage in any other business activity or serve in any industry, trade, professional, governmental or academic position during the term of this Agreement, except as may be expressly approved in advance by the CEO Board of Directors in writing.

Capacity and Performance. ​ (a) During the Employment Term, the Executive shall serve as the Chief Financial Officer of the Company as its Senior Vice President and will report directly to the Chief Financial Officer.Executive Officer (“CEO”). ​ (b) During the Employment Term, the Executive shall be employed by the Company on a full-time basis and shall perform the duties and responsibilities of her position, and such other duties and responsibilities on behalf of the Company as are commensurate with his position as Chief Financial Officer and its Affiliates such further duties and responsibilities as reasonably may be reasonably designated from time to time by the Chief Executive Officer of the Company (the “CEO”) or the Board of Directors of Skyline Champion Corporation (the “Board”). (c) During the Employment Term, the Executive shall devote her his full business time and her his best efforts, business judgment, skill and knowledge exclusively to the advancement of the business and interests of the Company and its Affiliates and to the discharge of her his duties and responsibilities hereunder. The Executive shall not engage in any other business activity or serve in any industry, trade, professional, governmental or academic position during the term of this AgreementEmployment Term, except as may be expressly approved in advance by the CEO in writing.. Notwithstanding the foregoing, the Executive may serve on civic, trade association and charitable boards and conduct personal investment activities, so long as these activities do not interfere with the Executive’s performance of his duties and responsibilities under this Agreement. ​

(b) During the Term, the Executive shall be employed by the Company on a full-time basis and shall perform the duties and responsibilities of her position, and such other duties and responsibilities on behalf of the Company and its Affiliates as reasonably may be designated from time to time by the Chief Executive Officer of the Company (the “CEO”) or the Board of Directors of Skyline Champion Corporation (the “Board”). (c) During the Employment Term, the Executive shall devote her his full business time and her his best efforts, business judgment, skill and knowledge exclusively to the advancement of the business and interests of the Company and its Affiliates and to the discharge of her his duties and responsibilities hereunder. The Executive shall not engage in any other business activity or serve in any industry, trade, professional, governmental or academic position during the term of this AgreementEmployment Term, except as may be expressly approved in advance by the CEO in writing. Notwithstanding the foregoing, the Executive may serve on civic, trade association and charitable boards and conduct personal investment activities, so long as these activities do not interfere with the Executive’s performance of his duties and responsibilities under this Agreement.
