Common use of Capital Call Clause in Contracts

Capital Call. In the event the Subscription Amount of the Subscriber is greater than or equal to $500,000 (Five Hundred Thousand Dollars), the Subscriber will be given the option to pay the Subscription Amount in full or through two equal installments. The Subscription Amount and the Subscriber’s commitment and agreement to Capital Call shall be set forth on the Signature Page of the Subscription Agreement. After 180 days from the date of initial payment and issuance of Class A Units, the remaining Subscription Amount payment shall be payable on demand stated by the Manager. On its discretion, the Manager may demand from the Subscriber a fixed amount for any one Capital Call (the “Call Amount”). The Call Amount may not exceed the Subscriber’s outstanding, unfunded capital commitment (“Unfunded Committed Capital”). The Class A Units will be allocated and issued to the Subscriber first, on the initial payment amount and second, on the fully funded Call Amount. Capital Call investments must be fully funded before the final close of the Offering.
