Common use of Ceasing to be an Affiliate Clause in Contracts

Ceasing to be an Affiliate. If a person to whom a Shareholder has disposed any Securities ceases to be an Affiliate (as applicable) of that Shareholder: (a) that Shareholder must procure that that person immediately disposes the relevant Securities back to the original transferor (who must purchase the Securities); and (b) all rights attaching to the Securities held by that person will be suspended until the disposal back to the original transferor is completed.
