Center of Main Interests. The Issuer conducts its business and affairs so that it has its center of main interests, as that term is used in Article 3(1) of the EU Insolvency Regulation, in Luxembourg, and has no “establishment”, as that term is used in Article 2(h) of the EU Insolvency Regulation or branch office in any other jurisdiction than Luxembourg.
