Certain Covenants of the Offerors. The Offerors jointly and severally covenant with the Underwriters as follows: (a) The Offerors shall use their best efforts to cause the Registration Statement and any amendments thereto, if not effective at the time of execution of this Agreement, to become effective as promptly as possible. If the Registration Statement has become or becomes effective pursuant to Rule 430A and information has been omitted therefrom in reliance on Rule 430A, then the Offerors will prepare and file, in accordance with Rule 430A and Rule 424(b) of the 1933 Act Regulations ("Rule 424(b)"), the Prospectus or, if required by Rule 430A, a post-effective amendment to the Registration Statement (including the Prospectus) in the form provided to and not objected to by the Representative
