Certain Exemptions. Subject to Zeekr’s compliance with Section 6.13, the issuance of Geely Shares pursuant to this Agreement will be conducted as an offering that is exempted from the registration requirements under Section 5 of the U.S. Securities Act of 1933 (as amended) pursuant to the exemption provided under 7 CFR §230.802.
