Certain Matters Respecting Receivables and Material Contracts. Communication with and Notice to Receivable Obligors and Contracting Parties. The Administrative Agent in its own name or in the name of any one or more of the Grantors may, at any time in the course of any audit pursuant to Section 7.9 of the Credit Agreement, in consultation with the U.S. Borrower, communicate with Account Debtors on the Receivables and parties to the Material Contracts to verify with them to the Administrative Agent’s satisfaction the existence, amount and terms of any such Receivables or Material Contracts. Each Grantor shall notify Account Debtors on the Receivables that the Receivables have been collaterally assigned to the Administrative Agent on behalf and for the ratable benefit of the Secured Parties.
