Certain Matters With Respect to Pledgee. This Agreement and all documents, agreements, understandings and arrangements relating to this transaction have been executed by the undersigned on behalf of Pledgee in his/her capacity as an officer or director of Pledgee, and not individually, and neither the directors, officers or shareholders of Pledgee shall be bound by or have any personal liability hereunder or thereunder. The parties to this Agreement shall look solely to the assets of Pledgee for satisfaction of any liability of Pledgee in respect of this Agreement and all documents, agreements, understandings and arrangements relating to this transaction and will not seek recourse or commence any action against any of the directors, officers or shareholders of Pledgee or any of their personal assets for the performance or payment of any obligation hereunder or thereunder. The foregoing shall also apply to all and any future documents, agreements, understandings, arrangements and transactions between the parties hereto with respect to the Collateral or this Agreement.
