Common use of Certain Notifications Clause in Contracts

Certain Notifications. At all times from the date --------------------- hereof to the Closing Date, each party shall promptly notify the others in writing of the occurrence of any event that will or may (i) render any statement, representation or warranty of such party in this Agreement (including the Schedules hereto) inaccurate or incomplete in any material respect or (ii) constitute or result in the breach by such party of, or a failure to comply with, any agreement or covenant in this Agreement applicable to such party or (iii) result in the failure by such party to satisfy any of the conditions specified in Article VI hereof.
