Certain Other Reports and Information. Promptly upon their becoming available to the Borrower, the Borrower shall deliver, or cause to be delivered, to the Agent, with a copy for each Lender, a copy of (i) all regular or special reports, registration statements and amendments to the foregoing which the Borrower or any Subsidiary of the Borrower shall file with the Securities and Exchange Commission (or any successor thereto) or any securities exchange, (ii) all reports, proxy statements, financial statements and other information distributed by the Borrower to its security holders or the financial community generally, and (iii) upon request by any Lender Party, all reports submitted by outside accountants in connection with any audit of the Borrower or any Subsidiary of the Borrower, including but not limited to all management letters commenting on the internal controls of the Borrower or any Subsidiary of the Borrower submitted in connection with any such audit.
