Certain Other Reports and Information. Promptly upon their becoming available to the Borrower, the Borrower shall deliver, or cause to be delivered, to the Agent, with a copy for each Lender, a copy of (i) all regular or special reports, registration statements and amendments to the foregoing which the Borrower or any Subsidiary of the Borrower shall file on its own behalf with the Securities and Exchange Commission (or any successor thereto) or any securities exchange, (ii) all reports, proxy statements, financial statements and other information distributed by the Borrower to its security holders or as a press release, and (iii) all management letters from outside accountants to the Borrower or any Subsidiary of the Borrower submitted in connection with any audit of the Borrower or any Subsidiary.
