Common use of Certain Transactions and Agreements Clause in Contracts

Certain Transactions and Agreements. To the knowledge of the Company, none of the officers and directors of the Company, and no stockholder of the Company owning more than 1% of any class of Company Capital Stock, nor any immediate family member of an officer or director of the Company, has a direct ownership interest of more than 2% of the equity ownership of any firm or corporation that competes with, or does business with, or has any contractual arrangement with, the Company or any of its Subsidiaries. None of said officers, directors, stockholders or of immediate family members, is a party to, or otherwise directly or indirectly interested in any Company Material Contract.

None of said officers, directors, stockholders or of immediate family members, and no stockholder of the Company owning more than 1% of any class of Company Capital Stock is a party to, or otherwise directly or indirectly interested in any Company Material Contract.

None Except as otherwise provided for in the Companies Disclosure Schedules, none of said officers, directors, stockholders or of immediate family members, is a party to, or otherwise directly or indirectly interested in any Company Material Contract.

To the knowledge of the Company, none of the officers and directors of the Company, and no stockholder of the Company owning more than 110% of any class of the Company Capital Stock, nor any immediate family member of an officer or director of the Company, has a direct ownership interest of more than 210% of the equity ownership of any firm or corporation that competes with, or does business with, or has any contractual arrangement with, the Company or any of its Subsidiaries. None of said officers, directors, stockholders or of immediate family members, is a party to, or otherwise directly or indirectly interested in any Company Material Contract.
