Common use of Certificate of Assumption Clause in Contracts

Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of ▇▇▇▇▇▇▇▇▇’▇ members notice of the Merger and the Surviving Corporation’s assumption of ▇▇▇▇▇▇▇▇▇’▇ policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.

Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of ▇▇▇▇▇▇▇▇▇’▇ the Non-Surviving Entities’ members notice of the Merger and the Surviving Corporation’s assumption of ▇▇▇▇▇▇▇▇▇’▇ such Non-Surviving Entity’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C C-1 and Exhibit C-2 attached to and made a part of this Agreement.
