Common use of Certificate of Parent Clause in Contracts

Certificate of Parent. The Company shall have received from Parent an officer’s certificate certifying to the fulfillment of the conditions specified in Section 7.2(a).

Certificate of Parent. The Company shall have received from Parent an officer’s a certificate of Parent, executed by a duly authorized officer of Parent, certifying as to the fulfillment of the conditions specified matters set forth in Section 7.2(a)8.3(a) and Section 8.3(b) hereof.

Certificate of Parent. The Company shall have received from a certificate of Parent an officer’s certificate and Sub, executed by a duly authorized officer of Parent and Sub, certifying as to the fulfillment of the conditions specified matters set forth in Section 7.2(a6.2(a), Section 6.2(b) thereof.

Certificate of Parent. The Company Companies shall have received from Parent an officer’s certificate certifying to the fulfillment of the conditions specified in Section 7.2(a).

The Company and the Shareholders shall have received from Parent an officer’s a certificate of Parent, executed by a duly authorized officer of Parent, certifying as to the fulfillment matters set forth in Section 8.3(a) and Section 8.3(b) hereof, which certificate will include a reaffirmation of the conditions specified representations and warranties of the Parent set forth in Section 7.2(a)this Agreement as of the Effective Time.
