Common use of Certificate of Termination Clause in Contracts

Certificate of Termination. On completion of the distribution -------------------------- of the Partnership's property as provided herein, the General Partner (or such other Person or Persons as the Act may require or permit) shall file a certificate of termination with the Secretary of State of the State of Texas and take such other actions as may be necessary to terminate the existence of the Partnership. Upon the filing of the certificate of termination with the Secretary of State of the State of Texas, the existence of the Partnership shall cease, except as may be otherwise provided by the Act or other applicable Law.

On Upon the completion of the distribution -------------------------- winding up of the Partnership's property as provided hereinPartnership pursuant to this Section 9, the Managing General Partner (shall execute and file or such other Person or Persons as the Act may require or permit) shall file cause to be filed a certificate of termination with the Texas Secretary of State of pursuant to the State Section 11.101 of Texas Limited Partnership Law and shall take all actions and make all filings necessary for such termination to comply with Texas Limited Partnership Law and the laws of any other actions as may be necessary to terminate the existence of the Partnership. Upon the filing of the certificate of termination with the Secretary of State of the State of Texas, the existence of states or jurisdictions in which the Partnership shall cease, except as may be otherwise provided by the Act or other applicable Lawhas filed certificates.
