Common use of Certificate of Termination Clause in Contracts

Certificate of Termination. In accordance with the TBOC, following the dissolution, wind-up and liquidation of the Company, the Managing Member (or, if none, the personal or other legal representative of the last remaining Member), shall prepare and file, or cause to prepared and filed, a Certificate of Termination (to the Company’s Certificate) with the Secretary of State of Texas, which certificate shall be in the form required by Section 11.101 of the TBOC, and take such other actions as may be necessary to terminate the Company.

Certificate of Termination. In accordance with the TBOC, following the dissolution, wind-up and liquidation On completion of the Companydistribution of Company assets as provided herein, the Managing Member Company is terminated (or, if none, and the personal or other legal representative of the last remaining MemberCompany shall not be terminated prior to such time), and the Manager (or such other Person or Persons as the TBOC may require or permit) shall prepare and file, or cause to prepared and filed, file a Certificate certificate of Termination (to the Company’s Certificate) termination with the Secretary of State of Texas, which certificate shall cancel any other filings made pursuant to this Agreement that are or should be in the form required by Section 11.101 of the TBOC, canceled and take such other actions as may be necessary to terminate the Company. The Company shall be deemed to continue in existence for all purposes of this Agreement until it is terminated pursuant to this Section 14.4.
