Common use of Certificate of the Collateral Manager Clause in Contracts

Certificate of the Collateral Manager. An Officer’s certificate of the Collateral Manager, dated as of the Closing Date, to the effect that immediately before the Delivery of the Collateral Obligations on the Closing Date, to the knowledge of the Collateral Manager: (A) each Collateral Obligation owned or committed to be acquired by the Issuer on the Closing Date satisfies the definition of “Collateral Obligation”; and (B) the Aggregate Principal Balance of the Collateral Obligations which the Issuer has purchased or entered into binding commitments to purchase on or prior to the Closing Date is at least U.S.$450,000,000.
