Certificates and Other Documents. Purchaser and Manugistics shall have received a certificate of the President and the Secretary of Seller and IRI on the date of First Closing and Second Closing certifying to the fulfillment of the foregoing conditions substantially in the form of Exhibits A and B attached hereto.
