Certificates of Existence. The Agent shall have received from Borrower and each Guarantor a copy, certified as of a recent date by the appropriate officer of each State in which such Person is organized, a certificate confirming that Borrower and each Guarantor is duly existing (and, if available, in good standing) in such State.
