Certificates of incumbency. a list of directors and officers of the Borrower, the Borrower Shareholders and the Sponsors specifying the names and positions of such persons, certified (in a certificate dated no earlier than 10 Business Days prior to the date of this Agreement) by an officer or such other authorised person of it to be true, complete and up to date;
