Common use of Certificates of incumbency Clause in Contracts

Certificates of incumbency. a list of the members of the board of managers or its sole member or the single manager, as the case may be (and in the case of the Managers only, of the directors) and officers or manager(s) (as the case may be) of each Security Party specifying the names and positions of such persons, certified (in a certificate dated no earlier than five (5) Banking Days prior to the date of this Agreement) by an officer or manager of such Security Party to be true, complete and up to date;
