CERTIFICATES OF OFFICERS AND DIRECTORS. The Purchasers and FDC shall provide to each other certificates at the Closing verifying the representations and warranties made by each party hereto. Any certificate or other document executed by any officer of FDC or the Purchasers and delivered to the other party or their counsel shall be deemed a representation and warranty by such officer on behalf of FDC or the Purchasers as to the statements made therein.
