Common use of Certificates of Quantity and Quality Clause in Contracts

Certificates of Quantity and Quality. The certificates of quantity and quality (or such other equivalent documents as may be issued at the Loading Terminal) for the Product comprising the shipment issued in accordance with such standard practice shall, except in cases of manifest error or fraud, be conclusive and binding on both Parties for invoicing purposes. API/ASTM Standards or the latest revisions thereof shall be complied with at all times. All volumes or quantities shall be adjusted per API/ASTM Standards. Metering systems shall conform to the API/ASTM Standards then in effect relative to meter calibration/accuracy. Either Party shall have the right to witness all gauges, tests, and measurements.
