Common use of Certificates to be final Clause in Contracts

Certificates to be final. All certificates, communications, opinions, determinations, calculations, quotations and decisions given, expressed, made or obtained for the purposes of the provisions of this Condition 6 and Condition 7.11, whether by the Fiscal Agent or, if applicable, the Calculation Agent, shall (in the absence of wilful default, bad faith or manifest or proven error) be binding upon the Issuer, the Fiscal Agent, the Calculation Agent (if applicable), the other Agents and all Noteholders and Couponholders and (in the absence of wilful default or bad faith) no liability to the Issuer, the Noteholders or the Couponholders shall attach to the Fiscal Agent or, if applicable, the Calculation Agent in connection with the exercise or non-exercise by it of its powers and duties pursuant to such provisions.

All certificates, communications, opinions, determinations, calculations, quotations and decisions given, expressed, made or obtained for the purposes of the provisions of this Condition 6 and Condition 7.114, whether by the Fiscal Principal Paying Agent or, if applicable, the Calculation Agent, shall (in the absence of wilful default, bad faith or manifest or proven error) be binding upon on the Issuer, the Fiscal Principal Paying Agent, the Calculation Agent (if applicable), the other Agents and all Noteholders Noteholders, Receiptholders and Couponholders and (in the absence of wilful default or bad faithas aforesaid) no liability to the Issuer, the Noteholders Noteholders, the Receiptholders or the Couponholders shall attach to the Fiscal Principal Paying Agent or, if applicable, the Calculation Agent in connection with the exercise or non-exercise by it of its powers powers, duties and duties discretions pursuant to such provisions.
