Certification No Clause Samples

The 'CERTIFICATION NO' clause serves to indicate that no formal certification or attestation is being provided within the context of the agreement. In practice, this means that the parties are not required to certify the accuracy of information, compliance with certain standards, or the fulfillment of specific conditions as part of their contractual obligations. This clause is often used to clarify that neither party is making official statements or guarantees that would otherwise require a formal certification process. Its core function is to limit liability and prevent misunderstandings by making it clear that no certified assurances are being made.

See Part One, Sec.III.C.3, page SBE 5. ** SBE subcontractors should also be listed on the Subcontractors Form (page 9 of the bid documents), in compliance with the California Subletting and Subcontracting Fair Practices Act. By signing this form, I declare under penalty of perjury under the laws of the State of California that the foregoing constitutes the listing of SBEs which my company will utilize if it is awarded the contract, for a total dollar value of or percent of the total base bid. I agree that my company will achieve the level of SBE participation specified above for the entire work under this contract, including any amendments to the contract. If the SBE participation goal is not met, and if this form, along with compelling documentation detailing the good faith efforts made to meet the goal, is not completed and returned with the proposal, the proposal shall be deemed non-responsive and rejected. Even if bidder’s SFMTA SBE Form No. 1 indicates the SBE goal has been met, bidders should still submit the following information to protect their eligibility for the contract. This is because SFMTA’s Contract Compliance office may determine that bidders have not met the goal for various reasons, e.g., if an SBE subcontractor submitted by the prime contractor was not SBE/DBE/LBE certified on the proposal due date. In these cases, SFMTA’s SBE Form No. 1 will not normally provide sufficient information to demonstrate that the bidder made good faith efforts. Please supply information regarding the following:
