Common use of Certifications and Attestations Clause in Contracts

Until the first Retail Ventures fiscal year end occurring after the Distribution Date and thereafter to the extent necessary for the timely filing by Retail Ventures of annual and quarterly reports under the Exchange Act, DSW shall cause its appropriate officers and employees to provide to Retail Ventures on a timely basis any certificates reasonably requested by Retail Ventures as support for the certifications and attestations required by Sections 302, 906 and 404 of the Sarbanes-Oxley Act of 2002 to be filed with such annual and quarterl▇ ▇▇▇▇▇▇▇. ▇▇▇ so long as Retail Ventures is providing accounting and financial services pursuant to the Shared Services Agreement and thereafter to the extent necessary for the timely filing by DSW of annual and quarterly reports under the Exchange Act, Retail Ventures shall cause its appropriate officers and employees to provide to DSW on a timely basis any certificates reasonably requested by DSW as support for the certifications and attestations required by Sections 302, 906 and 404 of the Sarbanes-Oxley Act of 2002 to be filed with such annual and quarterl▇ ▇▇▇▇▇▇▇.
