Common use of Certified Documents and Resolutions Clause in Contracts

Certified Documents and Resolutions. Financial Security shall have received a copy of (i) the certificate of incorporation and bylaws of each of AmeriCredit, the Company, and AFS Funding and a copy of the Certificate of Trust and the Funding Trust Agreement of Funding Trust and (ii) the resolutions of the Board of Directors of each of AmeriCredit, the Company and AFS Funding and the resolution of the equity owners of Funding Trust, authorizing the issuance of the Securities and the execution, delivery and performance by AmeriCredit, the Company, AFS Funding and Funding Trust of the Transaction Documents and the transactions contemplated thereby, certified by the Secretary or an Assistant Secretary of AmeriCredit, the Company, AFS Funding and Funding Trust, as the case may be (which certificate shall state that such certificate of incorporation, bylaws and resolutions are in full force and effect without modification on the Date of Issuance).
