Common use of Certified Documents and Resolutions Clause in Contracts

Certified Documents and Resolutions. The Policy Provider shall have received (i) a copy of the applicable organizational documents of JetBlue and (ii) a certificate of the Secretary or Assistant Secretary of JetBlue dated the Closing Date stating that attached thereto is a true, complete and correct copy of resolutions duly adopted by the Board of Directors of JetBlue authorizing the execution, delivery and performance by JetBlue of the Operative Agreements to which it is a party and the consummation of the Transactions and that such applicable organizational documents and resolutions are in full force and effect without amendment or modification on the Closing Date;
