Change Control. 5.1 Either party may from time to time propose changes to a Contract, but no proposed changes shall come into effect until a "Change Order" has been signed by both parties. 8.4.1 agree to a Change Order, they shall sign it and that Change Order shall amend this Agreement and / or the Contract. If Service Schedule (as the parties case may be); or
8.4.2 are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in clause 2729 (Multi- tiered dispute resolution procedure).
5.4 VCG 8.5 The Supplier may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer pursuant to clause 6 on a time and materials basis at VCGthe Supplier's then current daily rates for Consultancy Services.
5.5 For the avoidance of doubt, specified in the absence of any agreed change to a Contract, and execution of a Change Order, VCG shall continue to provide the Supplies in accordance with the original terms of the ContractService Schedule.

10.3.2 the Supplier shall, as soon as reasonably practicable after receiving such informationthe information at clause 10.3.1, provide a draft Change Order to the Customer.
5.3 10.4 If the parties parties:
10.4.1 agree to a Change Order, they shall sign it and that Change Order shall amend the Contract. If the parties relevant Statement of Work; or
10.4.2 are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in clause 2719 (Alternative Dispute Resolution).
5.4 VCG 10.5 The Supplier may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer pursuant to clause 10.3 on a time and materials basis at VCGthe Supplier's then current daily rates for Consultancy Servicesspecified in Schedule 4.
5.5 For 10.6 Where the avoidance Supplier varies the way in which it performs any of doubtthe Additional Intelligence Services in order to comply with one or more of the following, it shall be entitled to make such changes (including to the SoW Charges) without the prior consent of the Customer subject always to it complying with the procedure set out in the absence rest of any agreed this clause 10):
10.6.1 where a change is required to comply with a Contract, and execution of change in the law; or
10.6.2 where a Change Order, VCG shall continue to provide the Supplies in accordance with the original terms change is required as a result of the ContractCustomer changing its operating processes (or any part thereof).
10.7 Any changes to the Bespoke Services, ThreatMatch Services or any RFI Services must be agreed in advance by the parties in writing.

(b) ABAC Center of Excellence Limited shall provide a draft Change Order to the Client as soon as reasonably practicable after receiving such information, provide a draft Change Order to the Customerinformation at Clause 8.3(a).
5.3 8.4 If the parties parties:
(a) agree to a Change Order, they shall sign it and that Change Order shall amend the Contract. If the parties relevant Schedule of Services; or
(b) are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with following the dispute resolution procedure in clause 27Clause 29.
5.4 VCG 8.5 ABAC Center of Excellence Limited may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer Client under Clause
8.3 on a time and materials basis at VCG's then current ABAC Center of Excellence Limited' daily rates for Consultancy Servicesspecified in Schedule 3.
5.5 For the avoidance of doubt, in the absence of any agreed change to a Contract, and execution of a Change Order, VCG shall continue to provide the Supplies in accordance with the original terms of the Contract.

5.5 For the avoidance of doubt, in the absence of any agreed change to a Contract, and execution of a Change Order, VCG shall continue to provide the Supplies in accordance with the original terms of the Contract.

Change Control. 5.1 Either party may from time 6.1. The Customer Representative and the Supplier Representative shall have such meetings as are agreed between the Parties to time propose monitor and review the performance of the Contract and to discuss any changes proposed in accordance with this Clause 6
6.2. Before each meeting, the Customer Representative shall notify the Supplier Representative, and vice versa, of any problems relating to the provision of the Services for discussion at the meeting. At each such meeting, the Parties shall agree a Contractplan to address such problems. In the event of any problem being unresolved or a failure to agree on the plan, but no proposed changes shall come into effect until a "Change Order" has been signed by both parties. A Change Order the matter shall be resolved in accordance with the Dispute Resolution Procedure. Progress in implementing the plan shall be included in the agenda for the next meeting.
6.3. If either party submits a document setting out Change Request, the proposed changes and Supplier shall, within a reasonable time, provide a written estimate to the effect that those changes will have onCustomer of:
5.1.1 6.3.1. The likely time required to implement the Supplieschange;
5.1.2 6.3.2. Any variations to the ChargesSupplier’s charges arising from the change;
5.1.3 the Expected Commencement Date;
5.1.4 any timetable for delivery 6.3.3. The likely effect of the change on the Services; and
6.3.4. Any other impact of the Supplies; and/ or
5.1.5 any other change on the terms of the Contract.
5.2 6.4. If VCG wishes the Supplier submits a Change Request, the Customer shall not unreasonably withhold or delay consent to make a change to a Contract it shall provide a draft Change Order to the Customerit.
6.5. If the Customer wishes the Supplier to make a change proceed with the change, the Supplier has no obligation to a Contract it shall notify VCG do so unless and provide as much detail as VCG reasonably requires of the proposed changes, including the timing of the proposed changes, and VCG shall, as soon as reasonably practicable after receiving such information, provide a draft Change Order to the Customer.
5.3 If until the parties agree have agreed in writing on the necessary variations to a Change Orderits charges, they shall sign it the Services and that Change Order shall amend the Contract. If the parties are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the dispute resolution procedure in clause 27.
5.4 VCG may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer on a time and materials basis at VCG's then current daily rates for Consultancy Services.
5.5 For the avoidance of doubt, in the absence of any agreed change to a Contract, and execution of a Change Order, VCG shall continue to provide the Supplies in accordance with the original other relevant terms of the ContractContract to take account of the change.

5.4 VCG 6.5 MMPL may charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by the Customer pursuant to clause 6.3 on a time and materials basis at VCGMMPL's then current daily rates specified in Schedule 2 or the Statement of Work. MMPL will advise the Customer in advance if it intends to charge for Consultancy Services.
5.5 For the avoidance of doubt, in the absence of any agreed change to a Contract, and execution preparation of a Change Order, VCG shall continue to provide the Supplies in accordance Order and only proceed with the original terms agreement of the ContractCustomer.

5.3 7.3 If the parties Supplier wishes to make a change to the Services, it shall provide a draft Change Order to the Customer.
7.4 If the Supplier submits a draft Change Order in order to comply with any applicable safety or regulatory requirements and such changes do not affect the nature, scope of, or charges for the Services, the Customer shall not unreasonably withhold or delay consent to it.
7.5 If the parties:
(a) agree to a Change Order, they shall sign it and that Change Order shall amend the Contract. If the parties this agreement; or
(b) are unable to agree a Change Order, either party may require the disagreement to be dealt with in accordance with the clause 30 (Multi-tiered dispute resolution procedure in clause 27procedure).
5.4 VCG may 7.6 The Supplier shall only be entitled to charge for the time it spends on preparing and negotiating Change Orders which implement changes proposed by originate from the Customer in accordance with clause 7.2. The Supplier shall charge for its time so spent on a time and materials basis at VCGthe Supplier's then current daily rates for Consultancy Servicesdates specified in Schedule 2.
