Change in Business Clause Samples

The Change in Business clause defines the parties' obligations and restrictions regarding significant alterations to the nature or scope of a business during the term of an agreement. Typically, this clause requires a party to notify the other if it intends to materially change its business activities, such as entering new markets, discontinuing core operations, or merging with another entity. Its core function is to protect the interests of the parties by ensuring transparency and allowing for reassessment of the agreement if the underlying business circumstances change significantly.
