Common use of Change in Rating Clause in Contracts

Change in Rating. On or after the date hereof (i) no downgrading or other negative development shall have occurred in the rating accorded to the Company’s or any Subsidiary’s financial strength by A.M. Best Company or any other “nationally recognized statistical rating organization,” as that term is defined by the Commission for purposes of Rule 436(g)(2) under the Securities Act Regulations (whether or not such downgrading or negative development has been publicly announced by A.M. Best Company) and (ii) except as described in the Pricing Disclosure Package and the Prospectus, no such organization shall have publicly announced that it has under surveillance or review, with possible negative implications, its rating of any of the Company’s or any Subsidiary’s financial strength.
