Change of Assignment Sample Clauses
The Change of Assignment clause governs the conditions under which one party may transfer its rights or obligations under a contract to another party. Typically, this clause outlines whether assignments are permitted, if prior written consent is required, and any exceptions or limitations to such transfers. For example, it may allow assignment in the event of a merger or acquisition, but prohibit it in other circumstances without approval. Its core practical function is to provide control and predictability over who is responsible for fulfilling contractual duties, thereby protecting the interests of the original parties and preventing unwanted third-party involvement.
