Change of Control Effective Date. “Change of Control Effective Date” shall mean the effective date of a Change of Control described in Section 1(b)(iii) and Section 1(b)(iv) and shall mean the effective date of the transaction approved by stockholders and described in Section 1(b)(i) and Section 1(b)(ii).
