Common use of Change of Terms and Conditions Clause in Contracts

Change of Terms and Conditions. This Agreement is subject to change from time to time. Unless otherwise agreed, changes may be made by notice from ISXMoney to the Client under the following procedure: 13.1. ISXMoney shall give the Client notice of any proposed change to this Agreement (a “Change Notice”). 13.2. A Change Notice may be given by letter to the current or last known trading address of the Client or the Client’s registered office or by email to any of the emails registered with the Client EMA facility. 13.3. The proposed change shall come into effect automatically: 13.3.1 two (2) months after the date of receipt of the Change Notice if the Client is a Micro-Enterprise or Small Charity, unless the Client gives written notice to ISXMoney that it objects to the proposed changes; or 13.3.2 two (2) weeks after the date of receipt of the Change Notice if the Client is not a Micro-Enterprise or Small Charity, unless the Client gives written notice to ISXMoney that it objects to the proposed changes; (in each case, an “Objection Notice”). 13.4. ISXMoney may stipulate in a Change Notice a different time period for the coming into effect of any change, provided that this may not be less than two (2) months for Micro- Enterprises and Small Charities and not less than two (2) weeks after the date of receipt of the Change Notice if the Client is not a Micro-Enterprise or Small Charity. 13.5. If no Objection Notice is received by ISXMoney within the stipulated time frame, the Client is deemed to have accepted the change. 13.6. The Client has the right to terminate this Agreement with immediate effect at any time and without charge after receiving a Change Notice and before any change stipulated in the Change Notice becomes effective. 13.7. Unless the parties agree otherwise and subject to clause 13.6, a Client’s Objection Notice shall be deemed to constitute a notice to terminate this Agreement with the termination effective immediately before the date on which the proposed change would otherwise come into effect under clause 13.3.

ISXMoney may stipulate in a Change Notice a different time period for the coming into effect of any change, provided that this may not be less than two (2) months for Micro- Micro-Enterprises and Small Charities and not less than two (2) weeks after the date of receipt of the Change Notice if the Client is not a Micro-Enterprise or Small Charity. 13.514.5. If no Objection Notice is received by ISXMoney within the stipulated time frame, the Client is deemed to have accepted the change. 13.614.6. The Client has the right to terminate this Agreement with immediate effect at any time and without charge after receiving a Change Notice and before any change stipulated in the Change Notice becomes effective. 13.714.7. Unless the parties agree otherwise and subject to clause 13.614.6, a Client’s Objection Notice shall be deemed to constitute a notice to terminate this Agreement with the termination effective immediately before the date on which the proposed change would otherwise come into effect under clause 13.314.3.
