Change or Cancellation. AGILENT may, without any charge or liability, change or cancel any portion of this Order, provided AGILENT gives Seller notice (a) for customized Goods or Services (i.e., supplied exclusively in accordance with AGILENT's designs or specifications), at least thirty (30) calendar days prior to the Delivery Date; and (b) for all other Goods or Services at any time prior to shipment. Notwithstanding the foregoing, AGILENT may, upon mutual written agreement, change or cancel the Order if the transactions relating to this Order are subject to Act Against Delay in Payment of Subcontract Proceeds, Etc. to Subcontractors (Act No. 120 of June 1, 1956) (the “Subcontract Act”).
