Changeover. 9.01 The minimum call for a changeover shall be four (4) hours for extra employees called for this purpose, and two (2) hours for those employees already working the performance. 9.02 For the purposes of this Agreement, a changeover shall be defined as adjusting all relevant, existing elements of one performance to accommodate another performance with minimum additions or deletions. Changeover. The resignation or termination of services of the Escrow Bank shall be effective and the process of change-over shall be completed only upon the transfer of proceeds in the Escrow Account to the Substitute Escrow Bank or by issuance and handing-over of an instrument in accordance with the proviso to Article 9.1 (b) above, as the case may be.

With regard to the succession of Contractor’s employees, a recruitment notice may be placed in each facility.

Changeover. In the event of termination or expiration of this Agreement or any Statement of Work for any reason, Manufacturer shall, at no additional charge, effect an orderly and efficient transition of the work performed hereunder to Ericsson or to a successor manufacturer during a transition period to be specified by Ericsson.

Changeover. 24.1 Approximately every three weeks, the order assembly line/station configuration is changed ("changeover") to reflect and meet the requirements of Avon's sales campaigns. 24.2 The Company values the continuing involvement of employees in assisting with continuous improvement of the changeover process. Accordingly, there will be a continued commitment by Avon and its employees to overtime and downtime reduction and improvement in labour utilization in the changeover process. 24.3 Order Assemblers at the Probationary or Level 1 pay rate who are actively involved in the changeover process and who perform the duties comparative to a Level 2 Bin Filler (i.e. moving boxes, products within Order Assembler stations) shall be remunerated at Level 2 rate in the manner prescribed as per Clause 13 of this Agreement.

Changeover. In consideration of entering into this agreement and in recognition of the Buyer's costs with such implementation, and the waiver of the Buyer requiring the Seller to relabel and/or replace existing product, the Seller agrees to provide an initial changeover credit to the Buyer of ***. Thereafter, a credit of *** each year will be provided by October 15th, beginning in 2003. This will provide a total reimbursement of *** for costs related to the changeover. BRAND DEVELOPMENT FUND Seller will provide Buyer with a Brand Development Fund of *** per filter unit to promote the growth of the filter line. This fund will be capped at *** annually. This fund will be paid quarterly in the form of a credit to Buyer's account based upon the filters purchased.
