Changes in State or Federal Laws Clause Samples

The "Changes in State or Federal Laws" clause defines how a contract will adapt if relevant laws or regulations are amended after the agreement is signed. Typically, this clause allows either party to request modifications to the contract terms to ensure ongoing compliance with new legal requirements, and may outline procedures for renegotiation or termination if compliance becomes impossible or impractical. Its core function is to protect both parties from unforeseen legal changes, ensuring the contract remains enforceable and reducing the risk of inadvertent violations.
Changes in State or Federal Laws. If any state or federal law changes so as to make it impossible for the City or the District to perform its obligations under this Agreement, the Parties will cooperate to amend this Agreement in such a manner that is most consistent with the original intent of this Agreement as legally possible.
Changes in State or Federal Laws. In accordance with California Government Code Section 65869.5, in the event that state or federal laws or regulations enacted after the Effective Date (“State or Federal Law”) prevent or preclude compliance with one or more provisions of this Agreement, and except as provided in Section 3.4.2 above, the Parties shall meet and confer in good faith to determine the feasibility of any modification or suspension of this Agreement that may be necessary to comply with such newly enacted State or Federal Law and to determine the effect such modification or suspension would have on the purposes and intent of each Party to this Agreement, and on the Vested Elements. Following the meeting between the Parties, the provisions of this Development Agreement may, to the extent feasible, and upon mutual agreement of the Parties, be modified or suspended, but only to the minimum extent necessary to comply with such State or Federal Law. Developer shall have the right to challenge (by any method, including litigation) the State or Federal Law preventing compliance with, or performance of, the terms of this Development Agreement and, in the event that such challenge is successful, this Development Agreement shall remain unmodified and in full force and effect, unless the Parties mutually agree otherwise
