CHANGES INITIATED BY THE AGENCY. Subsection 3-2.1. General." Amend by adding thereto the following: "Minor changes in the work which involve no extra cost may be approved, authorized, and ordered by the Engineer. No other change shall be made nor extra work done except, (1) with the prior approval thereof by the Engineer and, (2) upon a prior written order therefor executed by the City Manager in conformity with the following provisions: "The City Manager or their designee may execute without authorization by the Council changes and extra work not exceeding in total cost the sum of $10,000 or ten percent (10%) of the amount set forth in the Bidder's Proposal, whichever is the greater, provided that the total Contract price for the work or improvement, including all changes and extra work orders, is not thereby caused to exceed the budgetary appropriation therefor. "No claim for any change or extra work shall be valid or will be recognized by the City, and no compensation therefor will be paid by the City unless the changes or extra work, or both, were approved and ordered as provided hereinabove."

  • Information Furnished by the Underwriters The statements set forth in the last paragraph on the cover page, the stabilization legend on the inside cover page, and the statements in the first and third paragraphs under the caption "Underwriting" in any Prepricing Prospectus and in the Prospectus, constitute the only information furnished by or on behalf of the Underwriters through you as such information is referred to in Sections 7(b) and 9 hereof.

  • Information Provided by the Underwriters The Underwriters severally confirm and the Company acknowledges that the statements with respect to the public offering of the Securities by the Underwriters set forth under the caption “Underwriting” in the Time of Sale Disclosure Package and in the Prospectus are correct and constitute the only information concerning such Underwriters furnished in writing to the Company by or on behalf of the Underwriters specifically for inclusion in the Registration Statement, any Preliminary Prospectus, the Time of Sale Disclosure Package, the Prospectus or any issuer free writing prospectus.

  • Distribution of Offering Material By the Company The Company has not distributed and will not distribute, prior to the later of the Closing Date and the completion of the distribution of the Units, any offering material in connection with the offering and sale of the Units other than the Sale Preliminary Prospectus and the Prospectus, in each case as supplemented and amended.

  • Electronic Fund Transfers Initiated By Third Parties You may authorize a third party to initiate electronic fund transfers between Your account and the third party’s account. These transfers, to make or receive payment, may be one-time occurrences or may recur as directed by You. These transfers may use the Automated Clearing House (ACH) or other payments network. Your authorization to the third party to make these transfers can occur in a number of ways. For example, Your authorization to convert a check or draft to an electronic fund transfer or to electronically pay a returned check or draft charge can occur when a merchant provides You with notice and You go forward with the transaction (typically, at the point of purchase, a merchant will post a sign and print the notice on a receipt). In all cases, these third party transfers will require You to provide the third party with Your account number and Credit Union information. This information can be found on Your check or draft as well as on a deposit or withdrawal slip. Thus, You should only provide Your Credit Union and account information (whether over the phone, the Internet, or via some other method) to trusted third parties whom You have authorized to initiate these electronic funds transfers. Preauthorize Credits - You may make arrangements for certain direct deposits to be accepted into Your share draft or share savings account(s). Preauthorized Payments - You may make arrangements to pay certain recurring bills from Your share draft or share savings account(s). Electronic Check or Draft Conversion - You may authorize a merchant or other payee to make a one-time electronic payment from Your checking or share draft account using information from Your check or draft to pay for purchases or pay bills. Electronic Returned Check or Draft Charge - You may authorize a merchant or other payee to initiate an electronic funds transfer to collect a charge in the event a check or draft is returned for insufficient funds.

  • EXPENSES BORNE BY THE MANAGER The Manager will pay: (a) The compensation and expenses of all officers and executive employees of the Fund; (b) The compensation and expenses of all directors of the Fund who are persons affiliated with the Manager; and (c) The expenses of the organization of the Fund, including its registration under the Investment Company Act of 1940, and the initial registration and qualification of its Capital Stock for sale under the Securities Act of 1933 and the Blue Sky laws of the states in which it initially qualifies.
