Since the Balance Sheet Date, neither the Borrower nor any Borrower Subsidiaries has made any Distribution. The Borrower is not a party to any contract or agreement that could reasonably be expected to have a material adverse affect on its business and which is not shown on the balance sheets of the Borrower delivered to the Lenders pursuant to Section 6.7(a).
