No changes have occurred in the assets, liabilities or financial condition of the Borrowers from those reflected in the most recent balance sheet referred to in Section 5.5 hereof (the "Current Balance Sheet") which, individually or in the aggregate, constitutes a material adverse change in the assets, liabilities, or prospects of Borrowers. Since the date of Current Balance Sheet, there has been no materially adverse development in the business or in the operations or prospects of Borrowers.
