Common use of Character of Warrant Shares Clause in Contracts

Character of Warrant Shares. The Warrant Shares, when issued in accordance with the terms hereof, will be duly authorized and, when paid for or issued in accordance with the terms hereof, shall be validly issued, fully paid and non-assessable and free from all taxes, liens and charges with respect to the issuance thereof.

Character of Warrant Shares. The All Warrant Shares, when issued Shares issuable upon the exercise of the Warrant in accordance with to the terms hereof, will be duly authorized and, when paid for or issued in accordance with provisions provided herein and upon payment of the terms hereofpurchase price by Holder, shall be duly authorized, validly issued, fully paid and non-assessable and free from all taxes, liens and charges with respect to the issuance thereofnonassessable.
