Common use of Chattel Paper and Instruments Clause in Contracts

Chattel Paper and Instruments. All action necessary to protect and perfect the security interest of the Trustee in all Instruments (including the delivery of all originals thereof to the Trustee) has been duly taken. With respect to Chattel Paper in which the Trustee is granted a security interests under the terms of this Agreement: (A) all action necessary to protect and perfect the security interest in the specific goods underlying Chattel Paper has been duly taken; (B) all original documentation evidencing Chattel Paper is in the possession of the Company; and (C) all original documentation evidencing Chattel Paper has been marked with a legend as described in Section 5.13.
