CIC Date Clause Samples

CIC Date. The following definition of CIC Date is added after the definition of “Change in Control” and before the definition of “Confidential Information: “The date on which a transaction which constitutes a Change in Control closes.”
CIC Date. For purposes of this Agreement, "CIC Date" shall mean the date on which a Change in Control is consummated.
CIC Date. For purposes of this Agreement, “CIC Date” shall mean the closing date on which a Change in Control transaction is completed.

Related to CIC Date

  • Commitment Termination Date the earliest to occur of (a) the Revolver Termination Date; (b) the date on which Borrowers terminate the Revolver Commitments pursuant to Section 2.1.4; or (c) the date on which the Revolver Commitments are terminated pursuant to Section 11.2.

  • Change in Control Period “Change in Control Period” means the period of time beginning three (3) months prior to and ending twelve (12) months following a Change in Control.

  • Termination After a Change in Control You will receive Severance Benefits under this Agreement if, during the Term of this Agreement and after a Change in Control has occurred, your employment is terminated by the Company without Cause (other than on account of your Disability or death) or you resign for Good Reason.

  • Change of Control There occurs any Change of Control; or

  • No Change in Control Guarantor shall not permit the occurrence of any direct or indirect Change in Control of Tenant or Guarantor.
