The "Claims of" clause defines the rights and procedures related to asserting claims under the agreement. Claims of discriminatory demotions and of unjust discipline or discharge shall be subject to the grievance procedure herein, provided that the penalty for proven or admitted misappropriation of funds, theft or other fraudulent actions may be discharge of non-probationary employees.
Claims of third parties are comprised in the damages as meant in clause 2 of this article. The constituent explicitly safeguards Cevezet from such claims.
Claims of the Buyer due to the incorrectness of an Independent Guarantee shall be excluded if the circumstances giving rise to the incorrectness of the Independent Guarantee were known to the Buyer at the time of the conclusion of this contract, whereby only the actual knowledge of the persons named in the Annex 9.3 shall be decisive in this respect. Section 442 of the German Civil Code (BGB) shall not apply. The Buyer shall also be deemed to have knowledge of circumstances which were disclosed in an appropriate manner in the electronic data room made available to the Buyer prior to the conclusion of this contract, provided that the facts justifying the ​ ​ incorrectness of the guarantee are sufficiently clear and specific and the disclosure is not misleading. The knowledge of the Buyer’s advisers and employees who were engaged in due diligence in advance of this contract shall be imputed to the Buyer. The documents made available for inspection and review in the Data Room are listed in Annex 9.3.
Claims of the Buyer shall be excluded if he is responsible for an infringement of Intellectual Property Rights.
Claims of. Copyright Infringement It is the policy of Bili Blanket Baby, LLC to respect the intellectual property rights of others. Bili Blanket Baby, LLC does not promote, ▇▇▇▇▇▇, or condone the copying of photographs or any other infringing activity.
Claims of the Buyer under this Section 8 shall be statute-barred 6 (six) months after the respective taxes have been finally assessed. The Buyer will not apply for, or agree to, and will not take any action which may result in, the extension of the statutes of limitation for the assessment of any Taxes.

  • Claims A. To accept HHSC's reimbursement rates as payment in full for the services specified in this Contract to the persons for whom a payment is received, and to make no additional charge to the individual, any member of their family or to any other source for any supplementation for such services, unless specifically allowed by HHSC rules. B. To submit claims for payment in accordance with HHSC Claims Administrator billing guidelines applicable to the services under the Contract. C. That the Contractor is responsible for payment of any valid audit exceptions found by HHSC, HHS or the Texas Attorney General's Medicaid Fraud Control Unit ("AG-MFCU"). F. That in accordance with §403.0551, Texas Government Code, and unless otherwise prohibited by any other law, any payments due to the Contractor under this Contract will be first applied toward any debt or back taxes the Contractor owes the state of Texas. Payments will be so applied until such debts and back taxes are paid in full. G. That failure to upload EVV data elements or enter the EVV data elements completely, accurately, or in a timely manner, may result in claim denial.

  • Insured Claims To indemnify Indemnitee for expenses or liabilities of any type whatsoever (including, but not limited to, judgments, fines, ERISA excise taxes or penalties, and amounts paid in settlement) to the extent such expenses or liabilities have been paid directly to Indemnitee by an insurance carrier under a policy of officers’ and directors’ liability insurance maintained by the Company; or

  • Claims of the Members The Members and former Members shall look solely to the Company’s assets for the return of their Capital Contributions, and if the assets of the Company remaining after payment of or due provision for all debts, liabilities and obligations of the Company are insufficient to return such Capital Contributions, the Members and former Members shall have no recourse against the Company or any other Member.

  • Claims of Creditors The Contract Value and other benefits under this Contract are exempt from the claims of creditors to the extent permitted by law.

  • Claims Released I understand and agree that I am releasing all known and unknown claims, demands, promises, causes of action and rights of any type that I may have had or currently have (the “Claims”) against each and every Released Party based on, relating to, or arising out of any fact, act, omission, event, conduct, representation, agreement or other matter whatsoever, except that I am not releasing any claim to enforce: (i) this Agreement; (ii) any right, if any, to claim government-provided unemployment benefits; or (iii) any rights or claims that wholly arise or accrue after I sign this Agreement. I further understand that the Claims I am releasing may arise under many different laws (including statutes, regulations, other administrative guidance and common law doctrines) including but by no means limited to: 1. Anti-discrimination statutes, such as the Age Discrimination in Employment Act (“ADEA”), the Older Workers Benefit Protection Act (“OWBPA”), and Executive Order 11141, which prohibit age discrimination in employment; Title VII of the Civil Rights Act of 1964, Section 1981 of the Civil Rights Act of 1866, and Executive Order 11246, which prohibit discrimination based on race, color, national origin, religion, or sex; the Equal Pay Act, which prohibits paying men and women unequal pay for equal work; the Americans With Disabilities Act and Sections 503 and 504 of the Rehabilitation Act of 1973, which prohibit discrimination based on disability; and any other federal, state or local laws prohibiting employment or wage discrimination, including the laws of Bermuda, including but not limited to the Employment Act of 2000 and the Human Rights Act of 1981. 2. Federal employment statutes, such as the WARN Act, which requires that advance notice be given of certain work force reductions; the Employee Retirement Income Security Act of 1974, which, among other things, protects employee benefits; the Fair Labor Standards Act of 1938 and laws which regulate wage and hour matters; the Family and Medical Leave Act of 1993, which requires employers to provide leaves of absence under certain circumstances; and any other federal laws relating to employment, such as veterans’ reemployment rights laws. 3. Other laws, such as any federal, state or local laws providing workers’ compensation benefits (or prohibiting workers’ compensation retaliation), restricting an employer’s right to terminate employees or otherwise regulating employment; any federal, state or local law enforcing express or implied employment contracts or requiring an employer to deal with employees fairly or in good faith. 4. Tort and contract claims, such as claims for wrongful discharge, negligence, negligent hiring, negligent supervision, negligent retention, physical or personal injury, emotional distress, fraud, fraud in the inducement, negligent misrepresentation, defamation, invasion of privacy, interference with contract or with prospective economic advantage, breach of express or implied contract, breach of covenants of good faith and fair dealing, promissory estoppel, and similar or related claims.
