Common use of Clause 1 Clause in Contracts

Clause 1. 11.1 does not apply to information which the receiving Party can show by reference to documentary or other evidence: a. was rightfully in its possession before the start of discussions between the Parties relating to this Agreement; b. is already public knowledge or becomes so at a future date (save for as a result of breach of clause 1.11.1); c. is received from a third party who is not under an obligation of confidentiality in relation to the information; or d. is developed independently without access to, or use of or knowledge of, the Confidential Information.
