Common use of Clawback Clause in Contracts

Clawback. Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based or other compensation paid to the Executive under this Agreement or any other agreement or arrangement with the Company that is subject to recovery under any applicable law, government regulation, or stock exchange rule or listing requirement will be subject to such deductions and clawback as may be required or permitted to be made pursuant to such law, government regulation, or stock exchange rule or listing requirement or any policy adopted by the Company.

Clawback. Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based compensation or any other compensation paid to the Executive under pursuant to this Agreement (or any other agreement or arrangement with the Company that Company) which is subject to recovery under any applicable law, government regulation, regulation or stock exchange rule or listing requirement will be subject to such deductions and clawback as may be required or permitted to be made pursuant to such law, government regulation, regulation or stock exchange rule or listing requirement (or any policy adopted by the CompanyCompany pursuant to any such law, government regulation or stock exchange listing requirement).

Clawback. Notwithstanding any other provisions in this Agreement to the contrary, any bonus, incentive-based, equity-based or other similar compensation paid to the Executive under pursuant to this Agreement or any other agreement or arrangement with the Company that which is subject required to recovery be recovered under any applicable law, government regulation, regulation or stock exchange rule or listing requirement will be subject to such deductions and clawback as may be required or permitted to be made pursuant to such law, government regulation, regulation or stock exchange rule or listing requirement (or any policy adopted by the CompanyCompany pursuant to any such law, government regulation or stock exchange listing requirement).

Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based or other compensation paid to the Executive Employee under this Agreement or any other agreement or arrangement with the Company that which is subject to recovery under any applicable Company policy, law, government regulation, or stock exchange rule or listing requirement will be subject to such deductions and clawback as may be required or permitted to be made pursuant to such Company policy (whether in existence as of the Effective Date or later adopted), law, government regulation, or stock exchange rule or listing requirement or any policy adopted by the Companyrequirement.

Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based amounts paid or other compensation paid provided to the Executive under Employee pursuant to this Agreement or any other agreement or arrangement with the Company that is Agreement, which amounts are subject to recovery under any applicable law, government regulation, or stock exchange rule listing requirement, or listing requirement any policy adopted by the Company from time to time, will be subject to such deductions and clawback as may be required or permitted to be made pursuant to such law, government regulation, or stock exchange rule listing requirement, or listing requirement or any policy adopted by the Companyas in effect from time to time.

Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based or other compensation gross amounts paid to the Executive under Employee pursuant to this Agreement or any other agreement or arrangement with the Company that Group which is subject to recovery under any applicable law, government regulation, regulation or stock exchange rule or listing requirement will be subject to such deductions and clawback as may be required or permitted to be made pursuant to such law, government regulation, regulation or stock exchange rule or listing requirement (or any policy adopted by the Companyapplicable member of the Company Group pursuant to any such law, government regulation or stock exchange listing requirement).

Clawback. Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based compensation, or any other compensation compensation, paid to the Executive under you pursuant to this Agreement or any other agreement or arrangement with the Company that is or any of its subsidiaries shall be subject to such recovery or deductions as may be required under any applicable law, government regulation, or stock exchange rule or listing requirement will be subject or policy adopted by the Board (as amended from time to such deductions and clawback time) or as may be required or permitted to be made determined by the Board pursuant to such law, government regulation, or stock exchange rule or listing requirement or any policy adopted by the CompanyBoard policy.

Clawback. Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based compensation, or any other compensation paid to the Executive under pursuant to this Agreement or any other agreement or arrangement with the Company (other than the Merger Agreement), that is subject to recovery under any applicable law, government regulation, regulation or stock exchange rule or listing requirement will be subject to such deductions and clawback as may be is required or permitted to be made pursuant to such law, government regulation, regulation or stock exchange rule or listing requirement or any policy adopted by the Companyrequirement.

Clawback. Notwithstanding any other provisions in provision of this Agreement to the contrary, any incentive-based compensation, or any other compensation compensation, paid to the Executive under Officer pursuant to this Agreement or under any other agreement or arrangement with the Company that Company, which is subject to recovery under any applicable law, government regulation, governmental regulation or stock exchange rule listing requirement, or listing requirement will pursuant to any compensation policy adopted by the Company, shall be subject to such deductions deductions, clawback and clawback recovery as may be required or permitted to be made pursuant to such law, government governmental regulation, or stock exchange rule or listing requirement or any policy adopted by the Companypolicy.

Clawback. Notwithstanding any other provisions in provision of this Agreement to the contrary, any incentive-based compensation, or any other compensation compensation, paid to the Executive under Employee pursuant to this Agreement or under any other agreement or arrangement with the Company that Company, which is subject to recovery under any applicable law, government regulation, governmental regulation or stock exchange rule listing requirement, or listing requirement will pursuant to any compensation policy adopted by the Company, shall be subject to such deductions deductions, clawback and clawback recovery as may be required or permitted to be made pursuant to such law, government governmental regulation, or stock exchange rule or listing requirement or any policy adopted by the Companypolicy.
